1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client", "you"), and Workly Talent Group Inc. ("Workly", "we", "us", or "our"), concerning your access to and use of the Workly website, placement services, and contractual virtual assistance relationships.

2. Staffing Services & Virtual Assistant Sourcing

Workly acts as a curated staffing platform connecting enterprise and individual clients with pre-vetted Virtual Assistants ("VAs"). Workly facilitates onboarding, talent matching, background verification, compliance, and international billing.

Placement Guarantee: Workly provides a 14-day Risk-Free Match Guarantee. If within the first 14 business days you determine that a matched VA is not suitable, Workly will provide a qualified replacement at no additional surcharge.
Hours of Engagement: Virtual Assistants are contracted either under Part-Time (20–25 hours/week) or Full-Time (40 hours/week) tiers.

3. Invoicing, Billing & Cancellation

Services are billed in advance on a bi-weekly or monthly recurring schedule. All fees are expressed in United States Dollars ($ USD). You may cancel or pause your staffing agreement at any time by providing fourteen (14) calendar days written notice.

4. Intellectual Property & Work Product

All work product, code, documentation, marketing assets, designs, transcripts, and intellectual property created by the Virtual Assistant during contracted hours are deemed "works made for hire" and shall remain the sole and exclusive property of the Client.

5. Confidentiality & Non-Disclosure (NDA)

All Virtual Assistants placed through Workly are bound by comprehensive bilateral Non-Disclosure Agreements. Neither Workly nor its contracted assistants shall disclose Client trade secrets, customer data, or strategic materials without authorization.
